Data Controller: Factorise Technologies ApS (trading as Fidnea ApS) is the data controller responsible for the processing of your personal data under this Policy.

Throughout this Policy, "Fidnea," "we," "us," and "our" refer to Factorise Technologies ApS.

Who we are

Fidnea is an educational and entertainment app focused on financial literacy, featuring human-curated content.

Fidnea is a financial literacy tool that supports retail investors in their self-directed investing journey. Fidnea also helps you to understand how institutional actors manage your investments. Which is beneficial whether you’re into passive or active investing.

You Are Contracting with a Company

Regardless of how the App Store or other platforms display the developer, whether correctly as Factorise Technologies ApS or incorrectly as an individual, all rights, obligations, and agreements related to the Services are with Factorise Technologies ApS, a registered company. Fidnea is the product name. You are entering into a contract with this legal entity, not with any individual employee, founder, or affiliate.

Registration and Access

Minimum Age. You must be at least 18 years old to use the Services. If you are located in a jurisdiction that requires a higher minimum age to consent to use the Services, you must meet that age requirement. By using the Services, you represent and warrant that you meet these age requirements.

Account Registration. You agree to:

  • Provide accurate, current, and complete information during the registration process
  • Maintain and promptly update your account information to keep it accurate and complete
  • Maintain the security and confidentiality of your account credentials
  • Notify Fidnea immediately of any unauthorized use of your account or any other security breach

Account Responsibility. You are solely responsible for all activities that occur under your account, whether or not authorized by you. You may not share your account credentials or make your account available to anyone else without our express permission.

Authority to Accept. If you create an account or use the Services on behalf of another person, entity, or organization, you represent and warrant that you have the authority to accept these Terms on their behalf and bind them to these Terms

Specifically for Institutional Accounts

Educational institutions (including schools, universities, training organizations, and similar entities) may create accounts to provide access to the Services for their students, faculty, or staff ("Educational Users").

Institutional Responsibility. When an educational institution creates an account or provides access to the Services, the institution agrees that it is responsible for:

  • Ensuring that all Educational Users meet the minimum age requirement of 18 years old, or obtaining any necessary parental or guardian consents where required by applicable law
  • Complying with all applicable educational privacy laws and regulations, including but not limited to GDPR, FERPA, and any local data protection requirements
  • Supervising and monitoring Educational Users' use of the Services in accordance with the institution's own policies and procedures
  • Ensuring that authorized representatives who create accounts or accept these Terms have the proper authority to bind the institution
  • Any content created, uploaded, or shared by Educational Users through the institution's account
  • Maintaining the security of institutional account credentials and promptly notifying Fidnea of any unauthorized access

Data Processing. Fidnea is the data controller for all personal data processed through the Services, including Educational User data. Educational institutions are responsible for:

* Obtaining any necessary consents or authorizations required under applicable law before providing Educational Users with access to the Services
* Informing Educational Users about Fidnea's data processing practices as described in our Privacy Policy
* Ensuring they have the legal basis to share Educational User information with Fidnea

All personal data is processed in accordance with our Privacy Policy.

Content Ownership. Fidnea retains full ownership of all educational materials, curriculum, questions, assessments, and content provided through the Services. 

Termination of Educational Access. Educational institutions may terminate access for individual Educational Users at any time. Upon termination of an institutional account, the institution is responsible for retrieving any content or data it wishes to retain before the account is closed.

Using Our Services

What you can do. Subject to your compliance with these Terms, you may access and use our Services for educational and personal financial literacy purposes. In using our Services, you must comply with all applicable laws as well as any policies, guidelines, or documentation we make available to you.

What you cannot do. You may not use our Services for any illegal, harmful, or abusive activity. For example, you may not:

  • Use our Services in a way that infringes, misappropriates, or violates anyone's rights.
  • Modify, copy, lease, sell, or distribute any of our Services.
  • Attempt to or assist anyone to reverse engineer, decompile, or discover the source code or underlying components of our Services, including our algorithms, systems, or content curation methods (except to the extent this restriction is prohibited by applicable law).
  • Automatically or programmatically extract data or content from the Service using bots, scrapers, or similar tools.
  • Interfere with or disrupt our Services, including circumventing any rate limits, restrictions, or bypassing any protective measures or security features we implement.
  • Use the Services to provide competing financial education services or redistribute our content to third parties.

Software. Our Services may be provided through mobile applications or other software, which may update automatically to ensure you're using the latest version with the most current security features and content.

Corporate and institutional domains. If you create an account using an email address owned by an organization (for example, your employer or educational institution), that account may be added to the organization's institutional account with us, in which case we will provide notice to you so that you can help facilitate the transfer of your account (unless your organization has already provided notice to you that it may monitor and control your account). Once your account is transferred, the organization's administrator will be able to control your account, including being able to access content and usage data, and restrict or remove your access to the account.

Third-party services. Our Services may include third-party software, products, services, or content ("Third-Party Services"). Third-Party Services are subject to their own terms, and we are not responsible for them. We do not endorse or guarantee the accuracy, reliability, or quality of any Third-Party Services.

Feedback. We appreciate your feedback, and you agree that we may use it without restriction or compensation to you.

Content

Our Content. The Services include educational content, learning materials, financial concepts, definitions, and other information created, curated, and provided by Fidnea ("Fidnea Content"). Fidnea Content is created using our proprietary pedagogical approach, combining publicly available information, standardized financial definitions, expert instructional design, and gamification techniques.

Your Use of the Services. When using the Services, you may interact with our educational content by answering questions, completing exercises, tracking your progress, and engaging with learning activities. Any responses, answers, or interactions you provide through the Services ("User Interactions") are used solely to facilitate your learning experience and improve our Services.

Ownership of Content. Fidnea retains all ownership rights in Fidnea Content, including all educational materials, questions, definitions, explanations, and learning frameworks, subject to the limited license granted to you under these Terms.

Our Use of User Interactions. We may use your User Interactions and usage data to provide, maintain, develop, and improve our Services, personalize your learning experience, comply with applicable law, enforce our terms and policies, and keep our Services safe. We will handle your personal data in accordance with our Privacy Policy.

Quality and Accuracy. All Fidnea Content undergoes human review and curation through ongoing internal quality processes. Our learning material is based on publicly available information, including standardized financial definitions, terminology, and foundational financial principles. We strive to ensure accuracy and keep our material up to date.

However, you understand and agree that:

  • Fidnea Content may not always be completely accurate, current, or comprehensive. You should NOT rely on content from our Services as a sole source of truth or factual information, or as a substitute for professional financial, legal, or tax advice.
  • You must evaluate Fidnea Content for accuracy and appropriateness for your specific situation before making any financial decisions based on it.
  • Financial markets, regulations, and best practices evolve continuously. While we work to keep content current, some information may become outdated between updates.
  • Fidnea Content does NOT constitute financial advice, investment recommendations, or professional guidance tailored to your personal circumstances.

Third-Party Content. Our Services may include or reference third-party content, data, products, or services ("Third-Party Content"). Third-Party Content is subject to its own terms and conditions, and we are not responsible for its accuracy, reliability, or availability. Reference to any third-party products or services does not mean the third party endorses or is affiliated with Fidnea.

Limitation of Liability for Content. Fidnea is NOT liable for any mistakes, inaccuracies, omissions, or outdated information in Fidnea Content. The material is provided "as is" for educational and entertainment purposes only. You acknowledge that you use Fidnea Content at your own risk and are solely responsible for any financial or investment decisions you make.

Reporting Errors. If you believe you have identified an error in our content, you are welcome to contact us at contact@fidnea.io or via our website contact form.

Intellectual Property

Our IP Rights. Fidnea ApS and its affiliates own all rights, title, and interest in and to the Services, including all Fidnea Content, software, technology, trademarks, logos, designs, educational frameworks, pedagogical methods, algorithms, and all intellectual property rights therein. This includes but is not limited to copyrights, trademarks, trade secrets, patents, and other proprietary rights.

Limited License to You. Subject to your compliance with these Terms, Fidnea grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal, non-commercial educational purposes during your subscription or access period.

Restrictions on Use. You may NOT:

  • Copy, modify, distribute, sell, or lease any part of our Services or Content
  • Reproduce, republish, or create derivative works from Fidnea Content
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices
  • Use Fidnea Content to create competing products or services
  • Frame or mirror any part of the Services without our express written permission

Trademarks. "Fidnea," the Fidnea logo, and any other product or service names, logos, or slogans that may appear on the Services are trademarks of Factorise Technologies ApS and may not be copied, imitated, or used without our prior written permission. You may only use our name and logo in accordance with our Brand Guidelines [when available].

No Transfer of Rights. Nothing in these Terms transfers any intellectual property rights to you. All rights not expressly granted are reserved by Fidnea.

Premium Access and Payment

Purchase. Premium Access is currently offered as an market intro one-time purchase for a six (6) month period. We may introduce additional purchase options in the future, including quarterly or monthly access periods, or package updates that require separate payment. When you purchase Premium Access, you will provide complete and accurate billing information through your device's app store (Apple App Store or Google Play Store).

In-App Purchase Processing. All payments are processed through the applicable app store's payment system. You are responsible for all applicable taxes. Your purchase is subject to the app store's terms and conditions, including their refund policies.

Access Period and Renewal. Your Premium Access is valid for the period specified at the time of purchase (currently six months). Premium Access does not automatically renew. After your access period expires, you will need to make a new purchase to continue accessing Premium content.

If we release new content packages or updated versions of Premium Access during or after your access period, these may require a separate purchase and are not included in your existing Premium Access unless explicitly stated.

Refunds. All sales are final, except:

  • Where required by applicable consumer protection laws
  • As determined by the applicable app store's refund policy
  • If you have not accessed the Premium content, in accordance with your EU right of withdrawal for digital services

To request a refund, you must contact the app store (Apple or Google) directly through their refund request process. Fidnea cannot process refunds for in-app purchases.

Price Changes. We reserve the right to change the price of Premium Access or introduce new pricing tiers at any time. Any price changes will apply to future purchases only and will not affect access you have already purchased.

Changes to Premium Offerings. We may modify, add, remove, or discontinue Premium features, content, or access periods at any time. If we introduce subscription-based options or other payment models in the future, we will provide notice of these changes and the applicable terms.

**Service Availability.** The Services are provided on an "as available" basis. For full details regarding service availability, interruptions, and discontinuation, please see the "Service Availability and Discontinuation" section below.

Purchases and In-App Purchases (IAP)

Seller and Legal Counterparty. All purchases of premium access, whether through in-app purchases (IAP) in the App Store, Google Play, or other channels, are transactions with Factorise Technologies ApS, the company behind Fidnea. You are contracting with the company, not with any individual employee, founder, or affiliate. Fidnea is the product name; the legal entity remains Factorise Technologies ApS, regardless of how the store lists the developer.

Acceptance of Terms. By completing any purchase, including IAP, you accept and agree to these Terms of Use, even if you have not yet downloaded or opened the app. The Terms of Use govern all purchases, whether they occur via the app store or through other sales channels.

Scope of Purchases and Refunds. All in-app purchases made through the App Store, Google Play, or other platforms are transactions with Factorise Technologies ApS, which is responsible for providing the services. The store only facilitates the payment.

Refunds, cancellations, or disputes for purchases made through the App Store or Google Play are handled according to the store’s policies. Factorise Technologies ApS does not directly process these refunds.

Purchases made directly from Factorise Technologies ApS outside of the app store are subject to these Terms and any refund policies communicated by the company.

Payment and Taxes. All prices are exclusive of VAT or other applicable taxes unless otherwise indicated.

VAT collected through the store is remitted to the relevant authorities and does not affect the liability cap in these Terms.

Limitation of Liability. All purchases, including pre-install IAP, are subject to the Limitation of Liability section.

The maximum liability of Factorise Technologies ApS for any claim arising from a purchase is the total amount paid for premium access in the six (6) months prior to the claim, excluding VAT.

No Financial Advice

Fidnea provides educational and entertainment content only. 

NOTHING in the Services (app, website, newsletters, social media, communications, or any other materials) constitutes:

* Financial, investment, tax, or legal advice

* Investment recommendations or endorsements

* An offer or solicitation to buy or sell securities or other financial products

* A recommendation regarding the suitability of any investment or financial strategy

You are solely responsible for your own financial and investment decisions.

Investment Risk Warning

All investments involve risks, including the potential loss of capital. Past performance of any asset, investment, or strategy does NOT guarantee or predict future returns. Markets are unpredictable and can decline significantly. 

You acknowledge that Fidnea is NOT responsible for:

* Your investment decisions or financial outcomes

* Any losses, damages, or missed opportunities resulting from your use of the Services

* The performance of any investments you make based on knowledge gained through the Services

No License as Adviser or Broker

Fidnea is NOT licensed, registered, or authorized as:

* A broker-dealer, investment adviser, or financial institution under Danish, EU, US, or any other international law

* A provider of financial planning, wealth management, or portfolio advisory services

* A fiduciary with respect to your financial decisions

Fidnea does NOT:

* Assess your individual risk profile, suitability, financial situation, or personal circumstances

* Make personalized recommendations based on your specific needs

* Offer individualized financial guidance or advice

Consultation with Professionals

Before making ANY investment, financial, tax, or legal decisions, you should ALWAYS consult with qualified and licensed professionals, including:

* Financial advisers or investment advisers

* Tax professionals or accountants  

* Legal counsel or attorneys

* Other relevant specialists appropriate to your situation

Fidnea is NOT a substitute for professional advice tailored to your individual circumstances. The Services are designed for general educational purposes only and should not be relied upon as the sole basis for financial decisions.

Termination and Suspension

Your Right to Stop Using Services. You are free to stop using our Services at any time by deleting your account or uninstalling the app. Stopping use of the Services does not entitle you to any refund of Premium Access fees already paid, except as required by applicable consumer protection laws.

Our Right to Suspend or Terminate. We reserve the right to suspend or terminate your access to our Services, or delete your account, at any time and without prior notice if we determine:

  • You have breached these Terms, including the prohibited activities listed in the "Using Our Services" section
  • We must do so to comply with applicable law or legal obligations
  • Your use of our Services could cause risk, harm, or liability to Fidnea, our users, or any third party
  • Your account has been inactive for over one (1) year and you do not have active Premium Access

If we suspend or terminate your account for breach of these Terms, you will not be entitled to any refund of Premium Access fees.

Effect of Termination. Upon termination of your account:

  • Your access to the Services will immediately cease
  • Your Premium Access will be revoked, regardless of any remaining time in your access period
  • We may delete your account data in accordance with our Privacy Policy and data retention practices
  • Sections of these Terms that by their nature should survive termination will continue to apply, including provisions regarding intellectual property, limitations of liability, and dispute resolution

Institutional Account Termination. If you access the Services through an institutional account (such as a school or employer), the institution's administrator may terminate your access at any time. Fidnea is not responsible for providing refunds or compensation in such cases.

Appeals. If you believe we have suspended or terminated your account in error, you may contact us at contact@fidnea.io to request a review of the decision. We will review your appeal at our discretion, but we reserve the right to make the final determination regarding your account status.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." EXCEPT TO THE EXTENT PROHIBITED BY LAW, FIDNEA AND ITS AFFILIATES AND LICENSORS MAKE NO WARRANTIES (EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE) WITH RESPECT TO THE SERVICES, AND DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, NON-INFRINGEMENT, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF ANY COURSE OF DEALING OR TRADE USAGE.

WE DO NOT WARRANT THAT THE SERVICES WILL BE:

  • UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • FREE FROM VIRUSES, BUGS, OR OTHER HARMFUL COMPONENTS
  • ACCURATE, COMPLETE, OR RELIABLE
  • THAT ANY CONTENT WILL BE SECURE OR NOT LOST OR ALTERED

YOU ACCEPT AND AGREE THAT:

  • ANY USE OF THE SERVICES AND FIDNEA CONTENT IS AT YOUR SOLE RISK
  • YOU WILL NOT RELY ON FIDNEA CONTENT AS A SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION
  • YOU WILL NOT USE FIDNEA CONTENT AS A SUBSTITUTE FOR PROFESSIONAL FINANCIAL, LEGAL, TAX, OR INVESTMENT ADVICE
  • YOU ARE SOLELY RESPONSIBLE FOR ANY FINANCIAL OR INVESTMENT DECISIONS YOU MAKE

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE ABOVE DISCLAIMERS APPLY. WHERE LOCAL LAW PROVIDES YOU WITH MANDATORY CONSUMER RIGHTS THAT CANNOT BE WAIVED, THOSE RIGHTS ARE NOT AFFECTED BY THESE TERMS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER FIDNEA NOR ANY OF OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR:

  • LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
  • LOSS OF USE OR DATA
  • BUSINESS INTERRUPTION
  • INVESTMENT LOSSES OR FINANCIAL DECISIONS MADE BASED ON FIDNEA CONTENT
  • LOSS OF GOODWILL OR REPUTATION
  • ANY OTHER INTANGIBLE LOSSES

THIS APPLIES EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE).

OUR AGGREGATE LIABILITY UNDER THESE TERMS FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO FIDNEA FOR PREMIUM ACCESS IN THE SIX (6) MONTHS BEFORE THE LIABILITY AROSE OR TEN US DOLLARS ($10), WHICHEVER IS GREATER. 

THE LIMITATIONS IN THIS SECTION APPLY TO THE MAXIMUM EXTENT PERMITTED BY DANISH LAW AND APPLICABLE EU CONSUMER PROTECTION REGULATIONS. NOTHING IN THESE TERMS EXCLUDES OR LIMITS OUR LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION, DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

FIDNEA'S AFFILIATES, LICENSORS, AND SERVICE PROVIDERS ARE INTENDED THIRD-PARTY BENEFICIARIES OF THIS SECTION. 

FIDNEA PROVIDES EDUCATIONAL CONTENT ONLY AND DOES NOT PROVIDE FINANCIAL, INVESTMENT, TAX, OR LEGAL ADVICE

YOU AGREE THAT THESE LIMITATIONS REFLECT A REASONABLE ALLOCATION OF RISK AND FORM AN ESSENTIAL BASIS OF THE AGREEMENT.

Indemnity

If you are using the Services on behalf of a business, organization, or educational institution, to the extent permitted by law, you will indemnify, defend, and hold harmless Fidnea, its affiliates, and personnel from and against any costs, losses, liabilities, damages, and expenses (including attorneys' fees and court costs) arising from third-party claims relating to:

  • Your use of the Services or Fidnea Content
  • Any violation of these Terms by you or anyone using your account
  • Any violation of applicable laws or regulations
  • Any violation of third-party rights, including intellectual property, privacy, or data protection rights
  • Any Educational Users' use of the Services through your institutional account

This indemnification obligation will survive termination of these Terms and your use of the Services.

Governing Law, Jurisdiction & Disputes

Governing Law. These Terms are governed by the laws of Denmark. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
These Terms and your use of the Services are governed by and construed in accordance with the laws of Denmark, without regard to its conflict of laws rules, i.e. without regard to the rules that determine which country’s law applies. 

Jurisdiction. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the Danish courts, and you and Factorise Technologies ApS agree to submit to the personal jurisdiction of these courts.

Informal Resolution. Before initiating any formal legal proceedings, you agree to contact us at contact@fidnea.io to attempt to resolve any dispute informally. We will make reasonable efforts to resolve the matter within 30 days.

Class Action Waiver. To the maximum extent permitted by applicable law, you agree to bring any dispute against Fidnea in your individual capacity and not as a plaintiff or class member in any purported class, collective, representative, multiple plaintiff, or similar proceeding ("Class Action"). You agree to waive any right to participate in a Class Action against Fidnea.

Limitation Period. Any claims arising under these Terms must be brought within one (1) year from the date the claim arose, except where prohibited by mandatory consumer protection law.

Severability. If the Class Action Waiver is found to be unenforceable for any reason, any putative class, collective, representative, multiple plaintiff, or similar action must be brought in the Danish courts under Danish law, and you consent to the exclusive jurisdiction of those courts for such proceedings.

General Terms

Assignment. You may not assign or transfer any rights or obligations under these Terms, and any attempt to do so will be void. Fidnea may assign its rights or obligations under these Terms to any affiliate, subsidiary, or successor in interest without your consent.

Changes to Terms or Services. We may update these Terms or modify the Services from time to time due to changes in law, regulatory requirements, security or safety reasons, technological developments, or improvements to our Services.

We will provide notice of any material changes to these Terms by posting the updated Terms in the app or on our website with a new "Effective Date," or by sending notice to the email address associated with your account. We will provide notice of material changes to these Terms. Changes may take effect immediately upon notice for urgent matters (legal, security, or regulatory compliance), or at a future date as specified in the notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services.

Delay in Enforcement. Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it later.

Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

Trade Controls. You must comply with all applicable trade laws, including sanctions and export control laws. Our Services may not be used in or for the benefit of any individual, entity, or country subject to sanctions or embargoes under EU, Danish, or US trade laws.

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Fidnea regarding the Services and supersede any prior agreements or understandings.
